Terms of Business This document explains the terms and conditions under which Qsolve provides consulting services to its Clients. These Terms of Business are made between Qsolve (ABN 46 633 174 585) (“Qsolve”) AND The Client [“you”].
Qsolve has agreed to provide the services to you and You have agreed to engage Qsolve for the services. You are taken to have accepted these Terms of Business and engaged Qsolve by engaging in any capacity, a consultant introduced to you by Qsolve. - Work performed by Qsolve is usually performed on a Time and Materials basis, with a 1 hour minimum. Typically short telephone consultations are free, however we reserve the right to charge as required.
- Additional costs apply to work performed out of hours and on holidays.
- Regular business hours are 8am to 6pm, Monday to Friday
- 25% surcharge applies 6pm to 10pm, Monday to Thursday
- 50% surcharge applies 10pm - 8am Monday to Thursday, 6pm Friday to 8am Monday and public holidays
- Travel is charged for engagements of less than 4 hours or for clients outside the Melbourne metropolitan area (more than 30 kilometers from the CBD). Travel time is charged at the full hourly consultants rate (minimum 1 hour) plus business kilometer rates (as set by the Australian Tax Office).
- Interstate travel time is charged from arrival and departure time of Melbourne airport.
- Payment for services are due fourteen (14) days from invoice date. Time and materials service invoices will be accompanied by the supporting timesheet documents.
- Investigation of any and all software problems is charged on a Time and Materials basis.
- Qsolve do not offer a blanket warranty on services provided either on a Time and Materials or Fixed Price basis due to the uniquely specific nature of each consultation. Please discuss any issue related to work performed by Qsolve with our Client Services Manager.
- Qsolve revises its fee schedule on an annual basis. There may, however, be interim increases or decreases from time to time. You will be notified in writing of any rate adjustments one month in advance of a change.
- Due to the highly specialised skills demanded for certain products and/or certain skills, some individual rates may vary in specific cases. You will be advised should this circumstance arise.
- Travel expenses (including airfare, transport, parking, accommodation costs and such out of pocket expenses as meals and laundry) are passed on to the Client at cost.
- Work undertaken by Qsolve in Australia will attract an additional 10% GST charge. Rates and/or costs quoted on work orders are exclusive of GST.
- For assignments under three months duration, fourteen (14) days notice is requested of your intention to continue our services.
- For assignments over 3 months duration, thirty (30) days notice is requested of your intention to continue our services.
- The services performed by employees or contractors of Qsolve are performed by highly trained, unique and valuable members of our team, necessary to our business. You agree that during the term of our engagement and for 12 months thereafter, you will not, without the express written permission of Qsolve, solicit for employment retain in any manner, any person then employed or engaged by Qsolve and who was directly involved with the delivery of those services within the previous 12 months.
- Qsolve reserves the right to amend these terms and conditions at any time by , with or without prior notice, by displaying the revised verbiage on www.qsolve.com.au/terms-of-business. It is your obligation to periodically review the Terms of Business.
- Any waiver of a breach of these terms of business shall be in writing signed by the party granting the waiver and shall be effective only to the extent specifically set out in that waiver.
These terms are stated with theintent of ensuring the commercial sustainability of our relationship andtherefore the long-term viability of providing our services to you. Thank you for your cooperation.
